1. Acceptance of Terms

By creating an account or utilizing our services, you acknowledge that you have read, understood, and agree to comply with this Agreement. If you are entering into this Agreement on behalf of a business entity, you represent that you have the legal authority to bind that entity to these terms.

2. Description of Services

RX Family provides a digital marketplace and proprietary technology platform designed to connect businesses with consumers interested in specific products or services. Our services include:

• Pay Per Call: Connecting live consumers to your business via inbound telephony.
• Data Leads: Providing consumer contact information through web-based forms.
• Performance Marketing: Optimized bidding and traffic routing to enhance customer acquisition.

3. Account Registration and Security

To access the RX Family Marketplace, you must complete the registration process. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Promptly notify us at info@therxfamily.com if you suspect any unauthorized access.
• Accept responsibility for all activities that occur under your account.

4. Quality and Compliance Standards

RX Family maintains high standards for lead quality. However, the following conditions apply:

• Lead Verification: While we use advanced technology and live agents to qualify leads, we do not guarantee conversion rates or specific sales outcomes.
• Regulatory Compliance: You agree to comply with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and various state and federal privacy regulations.
• Prohibited Content: You may not use our leads for any illegal, fraudulent, or harassing purposes.

5. Payments, Bidding, and Billing

• Pre-payment and Credits: Services may require an initial deposit or a pre-paid balance.
• Programmatic Bidding: Rates for leads are determined by a bidding marketplace. You are responsible for the bid amounts you set within the platform.
• Disputed Leads: Requests for credits or refunds for “bad leads” (e.g., wrong numbers, disconnected lines) must be submitted within [Number, e.g., 48] hours of delivery. Approval is at the sole discretion of RX Family.
• Taxes: All fees are exclusive of applicable taxes, for which the Client is responsible.

6. Intellectual Property Rights

The technology powering therxfamily.com, including the Canoe platform, all software, logos, trademarks, and content, is the exclusive property of RX Family.

• Limited License: We grant you a non-exclusive, non-transferable, revocable license to access our platform solely for your business operations.
• Restrictions: You may not reverse-engineer, decompile, or attempt to extract the source code of our platform or proprietary algorithms.

7. Data Privacy and Security

Your use of our service is also governed by our Privacy Policy. You agree that any consumer data provided by RX Family will be handled with the highest level of security and in accordance with data protection laws (such as CCPA or GDPR, where applicable). You shall not sell or share our lead data with third parties unless explicitly authorized in writing.

8. Limitation of Liability

To the maximum extent permitted by law, RX Family shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data. Our total liability for any claim arising out of this Agreement shall not exceed the total amount paid by you to RX Family in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless RX Family, its officers, employees, and affiliates from any claims, damages, or legal fees arising from your breach of this Agreement, your violation of any law (specifically TCPA violations), or your misuse of the leads provided.

10. Termination

• Termination by You: You may close your account at any time by providing written notice.
• Termination by Us: RX Family reserves the right to suspend or terminate your access immediately if we detect fraudulent activity, non-payment, or a violation of our compliance standards.
• Survival: Clauses related to IP, Indemnification, and Liability shall survive the termination of this Agreement.

11. Dispute Resolution and Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which RX Family is registered. Any disputes arising from this Agreement shall first be attempted to be settled through good-faith negotiations or professional mediation before proceeding to court.
